1. Acceptance and Modification

Certain portions of the Site may have additional or separate terms (e.g., booking terms for specific advertising inventory); in case of a conflict between these Terms and such specific terms, the latter shall prevail with respect to that portion of the Site.

4. Service Changes and Availability

Rahane Media reserves the right, in its sole discretion and without notice, to modify, suspend or discontinue any portion of the Site or the services (including advertising inventory, placement options, pricing) at any time. We will endeavour to notify you of significant changes, but we are not obligated to provide advance notice. Unless otherwise specified, any fees paid are non-refundable. Services (for example advertising campaigns) will automatically terminate when the booked period expires and any renewal fee is not paid.

5. Payments and Third-Party Gateways

If you pay any fees through the Site (e.g., for booking advertising inventory), you agree to make such payments using the modes and processes specified on the Site. We are not responsible for any failures, deductions, or errors arising during the payment process. In the case of a failed payment transaction (which results in no services being rendered), Rahane Media offers no guarantee about the timing or accuracy of any refund.

6. Termination

Rahane Media may, at any time and without notice or liability, terminate your access to the Site or any part thereof, for any reason. The provisions of these Terms regarding disclaimers, limitation of liability, ownership and indemnity shall survive such termination.

7. Intellectual Property Rights

Unless otherwise stated, all intellectual property rights in the materials on the Site (including text, graphics, images, video, audio, software) and trademarks belong to Rahane Media or its affiliates/licensors. You are granted a limited, non-exclusive, non-transferable, personal right to access and use the Site for your internal business purposes only. No material from the Site may be copied, modified, reproduced, republished, uploaded, posted, transmitted or distributed in any form without the prior written consent of Rahane Media. Unauthorized use may violate copyright, trademark and other applicable laws.

The Site and all materials, services, content and functionality provided on or through the Site are offered on an “as is” and “as available” basis, without warranties of any kind—express or implied. Rahane Media does not guarantee that the Site will operate error-free, or that the servers hosting the Site are free from viruses or other harmful components. In no event shall Rahane Media, its officers, directors, employees or affiliates be liable for any direct, indirect, incidental, special or consequential damages (including loss of profits, business interruption, loss of programs or data) arising out of your use of (or inability to use) the Site or any information or services provided through the Site. We also are not responsible for the unlawful acts of Users (or third parties) including fraud, hacking, misuse of data or other cyber-crimes.

10. Prohibited Activities

You agree not to:

• host, display, upload, publish, transmit, modify or share any information on the Site that belongs to another person or to which you do not have rights;
• transmit material that is defamatory, obscene, pornographic, paedophilic, harassing, hateful, racially or ethnically objectionable, encouraging money-laundering or gambling, or otherwise unlawful;
• impersonate another person or mislead recipients as to the origin of any message;
• transmit software viruses or other files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
• violate any applicable law for the time being in force.

11. Indemnification

You agree to indemnify, defend and hold harmless Rahane Media and its subsidiaries, affiliates, officers, directors, employees and agents from and against any and all claims, demands, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising out of (i) your use of the Site, (ii) your violation of these Terms, or (iii) your infringement of any rights of a third party.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. The courts at Delhi (or any other court with competent jurisdiction agreed upon) shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

15. Entire Agreement

These Terms constitute the entire understanding between you and Rahane Media regarding your use of the Site, and supersede all prior agreements, representations or understandings (written or oral). Rahane Media may change these Terms at any time in the manner described above.
